1 About our Terms
1.1 These Terms explain how you may use this website (the Site) which is provided by us free of charge.
1.2 References in these Terms to the Site includes the following domains: genmed.eu, and all associated web pages.
1.3 You should read these Terms carefully before using the Site.
1.4 By accessing or using the Site or otherwise indicating your consent, you agree to be bound by these Terms and the documents referred to in them.
1.5 If you do not agree with or accept any of these Terms, you should stop using the Site immediately.
1.6 These Terms are dated 14 July 2020. We reserve the right to vary these Terms from time to time. Our updated Terms will be displayed on the Site and by continuing to use and access the Site following such changes, you agree to be bound by any variation made by us. It is your responsibility to check these Terms from time to time to verify such variations.

1.8 Definitions
Content = means any text, images, graphs, designs, video, audio or other multimedia content, software or other information or material submitted to or on the Site
Site = has the meaning given to it in clause 1.1;
Terms = means these terms and conditions of use as updated from time to time under clause 1.6;
Unwanted Submission = has the meaning given to it in clause 5.1;
We = means Genmed Group Limited, company registration number 12434274 and the registered office of which is at Genmed House Unit 1, Lakeside Court, Llantarnam Park Way, Cwmbran, Wales, NP44 3GA (and us or our shall have the same meaning). References to we, our and us in these Terms also includes our group companies from time to time including Genmed.Me Limited, Genmed Commercial Services Limited and Genmed Managed Services Limited (incorporated in the Republic of Ireland);
You = means the individual, company or corporate body accessing or using the Site or its Content (and your shall have the same meaning).
2 Using the Site
2.1 The Site is for your use only.
2.2 The Site is intended for use only by those who can access it from within the UK. If you choose to access the Site from locations outside the UK, you are responsible for compliance with local laws where they are applicable.
2.3 We may prevent or suspend your access to the Site if you do not comply with any part of these Terms, any terms or policies to which they refer or any applicable law.
2.4 Access to the website is permitted on a temporary basis, and we reserve the right to withdraw or amend the services we provide on the website without notice. We will not be liable if for any reason the website is unavailable at any time or for any period.
2.5 From time to time, we may restrict access to some parts of the website to users who have registered with us.
3 Your privacy and personal information
3.1 Your privacy and personal information are important to us. Any personal information that you provide to us will be dealt with in line with our privacy policy available here, which explains what personal information we collect from you, how and why we collect, store, use and share such information, your rights in relation to your personal information and how to contact us and supervisory authorities in the event you have a query or complaint about the use of your personal information.
3.2 The Site does not collect personal information about you, except where there is specifically stated and provided with your knowledge (namely the enquiry form or providing details with respect to marketing). The Site will integrate with Google Analytics, which is the standard analytics platform to capture data and statistics from a website, with respect to:
3.2.1 website traffic levels (including how website traffic varies over time)
3.2.2 audience demographics (location, language, age, gender etc)
3.2.3 network statistics (most common devices used to access the website, most common browsers used to access the website etc)
3.2.4 audience statistics (bounce rates, frequency of returning users, frequency of new users etc and how this varies over time)
3.2.5 audience acquisition (how the user’s came across the website to access the website in the first place, and where they originated from as a source)
3.2.6 audience behaviour (audience actions when within the website, such as average time spent on the website in a session, most popular pages/sections etc)
4 Ownership, use and intellectual property rights
4.1 All content on this Site is copyright of © Genmed Group Limited. The Site and all intellectual property rights in it including but not limited to any Content are owned by us, our licensors or both (as applicable). Intellectual property rights means rights such as: copyright, trade marks, domain names, design rights, database rights, patents and all other intellectual property rights of any kind whether or not they are registered or unregistered (anywhere in the world). We and our licensors reserve all of our and their rights in any intellectual property in connection with these Terms. This means, for example, that we and they remain owners of them and free to use them as we and they see fit.
4.2 Nothing in these Terms grants you any legal rights in the Site other than as necessary to enable you to access the Site. You agree not to adjust to try to circumvent or delete any notices contained on the Site (including any intellectual property notices) and in particular in any digital rights or other security technology embedded or contained within the Site.
4.3 Trade marks: Genmed and Genmed Commercial Services are our trademarks. Other trade marks and trade names may also be used on the Site. The use of any trade marks on the Site is strictly prohibited unless you have our prior written permission.
5 Submitting information to the Site
5.1 While we try to make sure that the Site is secure, we cannot guarantee the security of any information that you supply to us (and it is normally unprotected until it reaches us) and therefore we cannot guarantee that it will be kept confidential. For that reason, you should not let us have any patentable ideas or patent applications, advertising or marketing suggestions, prototypes, or any other information that you regard as confidential, commercially sensitive or valuable (Unwanted Submissions). While we value your feedback, you agree not to submit any Unwanted Submissions.
5.2 We may use any Unwanted Submissions as we see reasonably fit on a free-of-charge basis (bear in mind that we have no way of knowing whether such information is confidential, commercially sensitive or valuable because we do not monitor the Site to check for these matters). Therefore, we will not be legally responsible for keeping any Unwanted Submissions confidential nor will we be legally responsible to you or anybody else for any use of such Unwanted Submissions.
6 Accuracy of information and availability of the Site
6.1 While we try to make sure that the Site is accurate, up-to-date and free from bugs, we cannot promise that it will be. Furthermore, we cannot promise that the Site will be fit or suitable for any purpose. Any reliance that you may place on the information on the Site is at your own risk. The Site may contain hyperlinks or references to third party websites other than the Site. Any such hyperlinks or references are provided for your convenience only. We have no control over third party websites and accept no legal responsibility for any content, material or information contained in them. The display of any hyperlink and reference to any third party website does not mean that we endorse that third party’s website, products or services. Your use of a third party site may be governed by the terms and conditions of that third party site.
8 Limitation on our liability
8.1 Except for any liabilities that we cannot exclude in law (such as for death, personal injury or fraudulent misrepresentation) or arising under applicable laws relating to the protection of your personal information, we (including our officers, directors, employees or agents) expressly exclude:
8.1.1 All conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity;
8.1.2 Direct, indirect or consequential loss or damage by any user in connection with the Site or in connection with the use, inability to use, or results of the use of the website, any websites linked to it and any materials posted on it, including without limitation losses that:
(a) were not foreseeable to you and us when these Terms were formed; or
(b) loss of income or revenue, loss of business, loss of profits or contracts, loss of anticipated savings, loss of data, loss of goodwill, wasted management or office time; and
(c) any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this clause shall not prevent claims for loss of or damage to your tangible property or any other claims for direct financial loss that are not excluded by any of the categories above;
8.1.3 losses to non-consumers.
9 Viruses, hacking and other offences
9.1 You must not misuse the website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the website, the server on which the website site is stored or any server, computer or database connected to the website. You must not attack the website via a denial-of-service attack or a distributed denial-of service attack.
9.2 By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the website will cease immediately.
9.3 Subject at all times to clause 8, we will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the website or to your downloading of any material posted on it, or on any website linked to it.
10 Events beyond our control
We shall have no liability to you for any breach of these Terms caused by any event or circumstance beyond our reasonable control including, but not limited to, strikes, lock-outs or other industrial disputes; breakdown of systems or network access; or flood, fire, pandemic, explosion or accident.
11 Rights of third parties
No one other than a party to these Terms has any right to enforce any of these Terms.

13 Governing law
These Terms, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. If any part of these Terms are deemed unlawful, void or for any reason unenforceable for any reason that part will be deemed to be severable and will not affect the validity of the remaining parts. We and you agree to the exclusive jurisdiction of the courts of England and Wales.
